Terms & Conditions

QUOTATIONS

Valid for 30 days from date of issue for Labor, if prices for the parts have increased from the date of the quotation to the date of order the client will be advised about the additional cost prior to ordering any equipment or parts.

CONFIRMATION

Confirmation of work commencement will be made after receiving initial payment (if stated on the work order) or by received signed work order from the client.

PAYMENT

Invoices are due as per agreement on the quotation or a maximum of 21 days after completion of the work. (unless stated otherwise on the quotation)

If any payment under the contract shall become overdue, Quanta Marine may (without prejudice to any of its other rights) charge interest on the overdue amount at a rate of three percent (3%) per calendar month both before and after judgment. Payment of such interest does not release the Client from its obligation to make payments on agreed dates.

All international transfer costs to be paid fully by the sender so that Quanta marine receive the invoiced amount.

VAT ON INVOICES.

The client is responsible to pay the VAT within the invoiced amount unless a document has been given to prove that the Yacht is VAT excluded or if the Yacht is in Temporary Importation (TPA) with the relevant customs documents, also that the company holding the (TPA) agrees to invoice via the (TPA).

PAYMENT CONDITIONS

Refrigeration, HVAC and Duct cleaning works.

  1. A deposit will be requested on the invoice if applicable.
  2. 40% stage payment half way thought the project if the project exceeds 10,000€
  3. Final invoice due 15 calendar days after the completion of the works.
  4. Works under 3,000€ will be invoice 100% after completion of the works, payment due within 15 days.
  5. None refundable or none returnable parts will be invoiced at 100% prior to ordering.
  6. Returnable parts that are not required will have a 25% restocking fee and a 50€ administration fee.
  7. Unless otherwise stated prices for supply of materials are net, ex-works.  Insurance and other costs, if any will be charged additionally.  VAT and similar taxes, levies or duties will be added at appropriate rate, where applicable.
  8. Due to the current supply chain being and shipping being disrupted Quanta Marine cannot be held responsible if a supplier delivers late on their quotation or if the Yacht is delayed because of this.

TIME & MATERIALS

Works carried out up to a maximum of 3,500€ will be invoiced at completion of works and are due as per our payment terms. If it is estimated the works will be above 3,500€ a down payment will be required of 50% of the estimated amount prior to starting the works.

HOURLY RATES FOR REFRIGIRATION AND HVAC WORKS (non-quoted works)

NORMAL HOURS: 0800-1700h Monday to Friday excluding bank holidays.

OVERTIME: rate Monday-Friday 1700-2000h Saturday 0800 – 1300h

SPECIAL HOURS: Monday to Friday 2000h to 0800h Weekends from 1300 Saturday until 0800 Monday. Holidays are considered as all day (8 hours)

Normal working hours 64.00€ per hour.
Overtime rate. 94.50€ per hour.
Special hours. 126.00€ per hour.

DAILY RATE OUTSIDE SPAIN

  1. 850€/Day/ Technician (up to 10hours per day) – Monday to Friday

LODGING

  1. Hotel will be charged at cost + 10%
    1. Minimum standard: 3 or 4 star hotel
    2. Or equivalent apartment if applicable

SUBSISTANCE

  1. Outside of Barcelona but within the EU 15€ per meal or 45€ per day per Technician.
  2. Outside Barcelona a 50€ overnight allowance per technician will be charged as well as the food supplement.

TRAVEL / STANDBY TIME

  1. Travel and Standby time will be charged as per the Hourly Rates.
  2. Travelling expenses outside of Barcelona Metropolitan area are as below.

TRANSPORT

a. Driving at .52€ / km (tolls included)

b. Parking at cost plus 10%

c. Flights at cost plus 10%

d. Flight destinations above a 4-hour flight will be of premium economy.

PRECONDITIONS

Our proposal is based on uninterrupted work process. Deviations may result in variations to the contract.

Client will undertake that:

  1. For the duration of the work they will maintain the necessary coordination to have the work performed by Quanta Marine in accordance with the agreed work schedule.
  2. Information will be supplied to Quanta Marine in a timely manner.
  • The worksite is available and accessible at the start and during the time the work has to be performed and that all preparatory works have been completed pre arrival of Quanta Marine.
  • They will make available to Quanta Marine all necessary cranes, forklifts or transport necessary on site. Quanta Marine will ensure the Client is informed of needs as soon as possible.
  • Our workers are not exposed to unreasonable hazards on or in the vicinity of the worksite.
  • They are responsible for initiating, maintaining and supervising all safety precautions and programs in connection with the worksite.
  • All crew members or contactors that are working in the same area MUST wear FFP2 / covering their nose and mouth.

VARIATIONS

  1. All variations are to be made in writing.  Variations may result in changes to the accepted contract price and completion terms and Quanta will notify the Client as soon as possible in this event. 
  2. No variations are to be carried out until written approval and acceptance is agreed to and signed by both parties.

GENERAL EXCLUSIONS

  1. Floor/Wall protection in working area and access to the working area
  2. Shipyard expenses
  3. VAT ( if applicable)
  4. Transport of material above 25kg from our onsite facilities to the vessel and/or the need for a crane or forklift.
  5. Any paint works
  6. Any equipment necessary such as scaffolding, ladders to work at altitude.
  7. Removal of deck heads or other type of impediments to access the contracted work.

SUBCONTRACTING

Quanta Marine shall be expressly entitled to award, at its own risk and responsibilities, subcontracts to third parties of its choice with regard to the performance of the contract.

AMENDMENT, SUSPENSION, OR CANCELLATION OF SCOPE OF WORK

Orders and verbal contracts will only be binding when accepted by the signature of the contract by Quanta Marine.

No contract may be amended cancelled or suspended except with the approval in writing of both parties and the effective date of such shall be the date of its written acceptance by both parties.

Unless otherwise expressly agreed in writing by Quanta Marine, the present General Terms and Conditions shall be deemed incorporated in all quotations and contracts for sales and services provided by Quanta Marine.

TAXES AND DUTIES

The prices mentioned in this proposal are excluding VAT and other duties. All taxes, duties and/or levies imposed by any level of Government outside Spain shall be to the Client’s account and shall be reimbursed to Quanta Marine in the event that Quanta Marine is required to pay any such taxes, duties, fees and/or levies.

CANCELLATIONS

For any cancellations made within 15 days of the start of work any reasonable costs will be charged to the client and deducted from the deposit for the works.

Cancellations made with more than 30 days of the start of works will be refunded in full (100%) except for any none refundable expenses.

WARRANTY

Quanta Marine will give warranty of parts supplied as per the manufacture’s guarantee after agreement from the manufacture that it was a failure of the supplied item.

Warranty maybe excluded from the manufacturer if negligence or if there has been any misuse of the equipment and has been proven from the manufacture.

Important note.

Parts that are supplied come with the Manufactures warranty, generally this is a one-year warranty and will be submitted on the quotation when applicable, however any warranty claim against any supplied  parts or components because of failure the costs for removal and re installation or to replace the part are not covered by Quanta Marine, additional costs that are not a direct consequence of the installation by Quanta Marine will be charged to the client, this includes removal or installation by Quanta Marine or a  3rd Party, shipping, crane or dockage fees, loss of Freon or damage to any components or loss of edible consumables due to the malfunction of the supplied parts or equipment from the manufacturer.

Any of the above costs accepted by the manufacturer as per a warranty claim will be reimbursed to the client after the funds are received by Quanta Marine.

Travel time will be charged as per the above rates and travel expenses / subsistence for any Warranty claim will be charged at cost plus 10%.

Force Majeure

No party shall be in breach of any of its obligations or be liable to the other part if it fails to perform or delays the performance of an obligation as a result beyond its reasonable control, including but not limited to, strikes, industrial disputes, fire, flood, act of God, war, insurrection, vandalism, sabotage, invasions , riot, national emergency, piracy, hijack, acts of terrorism, embargoes, or restraints, extreme weather or traffic conditions, temporary closure of roads, legislation, regulations, or other act of any government or governmental agency.

The party claiming to be affected by force majeure shall notify the other party in writing without delay.

RETURN OF GOODS

Goods supplied in agreed quantity and quality may only be returned to Quanta Marine if preliminary agreements exist and the manufacturer agrees to receiving the goods as a return.

JURISDICTION AND APPLICABLE LAW

Any quotation, purchase order or Contract between the Parties and the current General terms and conditions shall be governed by Spanish Law.

MISCELLANEOUS EXPENSES

Miscellaneous expenses comprise of costs for taxis, car rental, fuel, luggage overweight, customs duties, brokerage fees, work permits. Miscellaneous expenses are billed at cost +10% handling. For trips requiring a visa, a handling fee of 400.00€ will be applied to offset the cost of obtaining the required visa.

GENERAL

All works are subject to our Terms and Conditions which must be signed and stamped before works will commence.  Terms and conditions are subject to change but all changes must be made in writing and signed by both parties.

LIABILITY

The maximum agreed liability of Quanta Marine for any direct consequence whatsoever is a maximum of 50% of the amount invoice for that work order after it is proven that Quanta Marine are responsible.

It is agreed that Quanta Marine are not to be held responsible for loss of any revenue or loss of any perishable / frozen foods as a result of any failure with a system or supplied equipment.

COVID 19

Quanta Marine cannot be held responsible for any late delivery times or delays to any projects if this delay is a direct or indirect result of the Covid 19 situation, or by any rules, laws or regulations put in to force by a Yacht, Marina, Shipyards, local or National Government, all our technicians have strict guidelines in the health and safety protocol against Covid 19 including wearing FFP2 masks while inside a Yacht or A Technical space.

All our technicians are tested every 2-3 weeks as a precaution, if additional testing is required because of the Yachts policy this will be charged to the client at cost.

All our technicians are fully vaccinated or carry a government issued recover document.

Any expenses, or quarantine time / costs that are applicable because of travel to a Yacht will be subject to payment by the client.
